1.
On 11 July 2025, the Commission received notification of a proposed concentration pursuant to Article 4 of Council Regulation (EC) No 139/2004 (1).This notification concerns the following undertakings:

Hon Chi International Investments Co. (‘Hon Chi’, Taiwan), ultimately controlled by Hon Hai Precision Industry Co., Ltd. (‘Foxconn’, Taiwan), |
— |
Intrinsic Innovation LLC (‘Intrinsic’, US), ultimately controlled by Alphabet Inc. (‘Alphabet’, US), |
— |
Foxconn II Factories, LLC (‘JV’, US), currently solely controlled by Foxconn. |
Hon Chi and Intrinsic will acquire within the meaning of Article 3(4) of the Merger Regulation joint control of JV.
The concentration is accomplished by way of purchase of shares in a newly created company constituting a joint venture.

The business activities of the undertakings concerned are the following:

Hon Chi is a holding company and a wholly owned subsidiary of Foxconn. Foxconn is a company primarily active in the manufacture of electronics products, with operations across the Americas, Asia and Europe, |

Intrinsic is a software and AI robotics company which focuses on developing solutions for developers and businesses to engage in robotics affordably and productively. Its ultimate shareholder Alphabet is active in a wide range of product areas including online advertising technology, internet search, cloud computing, software, and hardware. |

The business activities of the JV will be the following:

JV is a greenfield joint venture that will develop, and later commercialise, technology and potentially hardware for intelligent factory automation. |

On preliminary examination, the Commission finds that the notified transaction could fall within the scope of the Merger Regulation. However, the final decision on this point is reserved.Pursuant to the Commission Notice on a simplified treatment for certain concentrations under Council Regulation (EC) No 139/2004 on the control of concentrations between undertakings (2) it should be noted that this case is a candidate for treatment under the procedure set out in the Notice.

The Commission invites interested third parties to submit their possible observations on the proposed concentration to the Commission.Observations must reach the Commission not later than 10 days following the date of this publication. The following reference should always be specified:
