Zapier Developer Platform Terms

Product-specific terms related to Zapier’s embed offerings (Workflow API, QuAC) have been moved to Zapier’s new Powered by Zapier Terms. Developer’s continued use of these embed offerings is subject to the Powered by Zapier Terms.

These Zapier Developer Platform Terms govern Developer's use of the Zapier Developer Platform, which enables the development of Connectors that connect Developer’s Apps with the Zapier Developer Platform for the purpose of use with the Service.

By downloading, installing, or otherwise accessing or using any part of the Developer Platform, Developer agrees to these Terms. If Developer does not agree, it must not use the Developer Platform.

Definitions

a. “Acceptable Use Policy” means the Zapier Acceptable Use Policy, which is incorporated into these Terms.

b. "Apps" mean Developer's own branded applications and application programming interfaces and other control or orchestration protocols that Connectors use (including updates, modifications, and versions thereto).

c. "Connectors" mean Developer’s integrations and links that connect Apps with the Developer Platform using APIs (application programming interfaces), or other protocols, such as MCPs (model context protocols), set forth in the Documentation for the purpose of use with the Service. Connectors include, but are not limited to, Integrations.

d. “Developer” means the company or other legal entity that owns the Apps and is accepting these Terms.

e. "Developer Platform" means the Zapier developer platform, which includes, as applicable, Documentation, Libraries, Sample Code, Zapier APIs (application programming interfaces), Zapier MCPs (model context protocols), and other Zapier interfaces and materials (including updates, modifications, and versions thereto).

f. “Developer Platform Website” means https://zapier.com/platform.

g. "Documentation" means Zapier's documentation and templates related to the Developer Platform available to Developer via the Developer Platform Website or elsewhere.

h. "End User" means a common customer of Zapier and Developer.

i. “Feedback” means all feedback, comments, ideas, proposals, and suggestions for improvements (with associated context) regarding the Developer Platform, Connectors, or Services, or any other Zapier products, services, or business.

j. "Integrations" mean integrations hosted on the Developer Platform that connect Apps to the Developer Platform via Zapier APIs for the purpose of use with the Service.

k. "Libraries" mean Zapier script libraries related to the Developer Platform available on the Developer Platform Website or elsewhere (including updates, modifications, and versions thereto).

l. "Sample Code" means sample code made available by Zapier to the extent not separately licensed under an open-source license.

m. "Service" means Zapier’s cloud-based automation platform available to an end user at zapier.com after registering for and opening a Zapier account.

n. “Terms” means these Zapier Developer Platform Terms, including all terms incorporated herein by reference.

o. "TOS" means the Zapier Terms of Service that governs the use of the Services, as updated from time to time.

p. “Trademarks” means a party's domains, product names, service names, trademarks, trade names, service marks, logotypes, or brand identifiers, whether registered or unregistered.

q. “Zapier” means Zapier, Inc., a Delaware corporation.

1. License

a. Developer Platform License: Subject to Developer's full compliance with these Terms, Zapier grants Developer a limited, non-exclusive, non-transferrable, non-sublicensable, and revocable license during the Term (defined in Section 6 below) to access and use the Developer Platform as follows: (i) use of the Documentation and Sample Code to develop Connectors; (ii) incorporation of Libraries and Sample Code into Connectors for the purpose of developing Connectors that connect its Apps with the Services; and (iii) access to the Developer Platform through Connectors to connect its Apps with the Service for use by End Users. Any use in violation of these Terms is strictly prohibited and deemed unlicensed.

b. Third-Party Software: The Developer Platform may include third-party software under separate license terms and open-source Sample Code, as described in Documentation. Developer's use of any such software is subject to its respective licenses.

2. Developer Responsibilities

a. Connectors and Apps: Developer is solely responsible for: (i) Connectors and Apps and their distribution, operation, and support; (ii) managing all relationships and agreements with Developer’s end users regarding Connectors and Apps; (iii) ensuring the functionality, quality, availability, and security of Connectors and Apps; and (iv) ensuring Connectors and Apps, and its use of the Developer Platform, comply with applicable Documentation, all applicable laws (including U.S. import or export laws and regulations), and third-party policies and terms.

b. Responsibilities: Developer represents, warrants, and covenants that: (i) it has the legal power and authority to enter into and perform these Terms, and to develop, license, and distribute Connectors without violating any other agreement; (ii) all information it provides to Zapier is and will be true, accurate, and complete; (iii) it will follow Zapier's registration and credentialing requirements for Developer Platform access; (iv) it will comply with Documentation (including for Integrations, Zapier's Integration publishing requirements and Integration branding guidelines), and the Acceptable Use Policy; (v) Connectors and Apps will not, and its use of the Developer Platform will not, violate any third-party rights (including intellectual property, privacy, or publicity rights) or infringe or misappropriate any Zapier Trademarks; (vi) it will not interfere with Zapier business operations, including related to the Service or Developer Platform; and (vii) it will not facilitate or encourage its End Users to violate the TOS or interfere with their ability to review or accept it.

c. Restrictions: Developer will not, and will not permit any third party to, directly or indirectly: (i) redistribute, sell, lease, license, copy, publicly perform or display, transmit, publish, edit, adapt, create derivative works of, modify, or otherwise use the Developer Platform (or any portion), except as expressly permitted; (ii) use or distribute Connectors other than to facilitate the connection of Apps with the Services, or use the Developer Platform other than for its intended purpose (including not for any competitive purpose, benchmarking, or to measure its performance); (iii) fail to protect non-public aspects of the Developer Platform using measures at least as strict as used for its own Confidential Information (and in any case, no less than reasonable care); (iv) reverse engineer, decompile, or seek to access Developer Platform source code not made available to Developer in source code form; (v) take any action that could subject the Developer Platform (or any part) to third-party terms (e.g., open source license terms); (vi) copy, frame, or display any elements of the Services through Connectors or Apps without Zapier's written consent; and (vii) represent or imply any Zapier sponsorship, endorsement, or affiliation beyond the Developer Platform relationship contemplated herein, or make any representations or commitments on behalf of Zapier (including for Services or the Developer Platform).

3. User Data

a. User Data: End Users may access, retrieve, transmit, upload, post, delete, collect, maintain, use, store, or otherwise process (collectively, "Process" or "Processed") certain of their data, content, or information through Connectors ("User Data") for the End User’s further use. In handling User Data (including from third-party services), Developer will:

(i) Process the User Data only to the extent enabled or otherwise agreed upon by End User, and to ensure that it Processes all User Data in accordance with: (1) Developer’s agreement with End User, a legally adequate privacy policy, and appropriate notices to and consents from End User; (2) applicable laws; and (3) appropriate measures that protect the privacy and security of User Data;

(ii) Process User Data only to provide user-facing features, and not transfer or sell it for other purposes (e.g., targeting ads, market research, email campaign tracking, and other unrelated purposes); and

(iii) At Zapier’s request, demonstrate compliance with security and privacy standards that Connectors and Apps need to meet to Process User Data from the Service, Third-Party Apps or other third-party services.

b. Processing of Data: Each party will comply with applicable data privacy laws regarding any User Data that it processes for an End User. When an End User uses Connectors to Process User Data: (i) that End User is the "data controller" (under applicable data privacy laws) of their User Data; (ii) Zapier is the "data processor" or "service provider," as applicable (under applicable data privacy laws) of such User Data in Zapier's possession; and (iii) Developer is the "data processor" or "service provider," as applicable (under applicable data privacy laws) of such User Data in Developer's possession.

4. Intellectual Property

a. Rights to Developer Platform: All rights, title, and interest in and to the Developer Platform remain with Zapier. Developer is granted only a limited, revocable license under these Terms and obtains no ownership or other interest in the Developer Platform.

b. Trademarks

(i) Zapier grants Developer a non-exclusive, non-transferrable (other than to a permitted successor), non-sublicensable and revocable license during the Term to use Zapier's Trademarks to market and promote the Services and Zapier-approved Connectors. Developer's usage of Zapier's Trademarks must adhere to Zapier's trademark notice and brand guidelines, as updated from time to time. Zapier may review Developer's use of Zapier's Trademarks and require correction of non-compliant usage. Any rights acquired by Developer through use of Zapier's Trademarks will inure solely to Zapier's benefit.

(ii) Developer grants Zapier a non-exclusive, non-transferrable (other than to a permitted successor), non-sublicensable license to use Developer's Trademarks to market and otherwise promote the Connector and the corresponding App, including without limitation, its availability, capability and operability through the Services. Zapier's usage of Developer's Trademarks must adhere to Developer's trademark guidelines, as provided by Developer from time to time. Developer may review Zapier's use of Developer's Trademarks and require correction of non-compliant usage. Any rights acquired by Zapier through use of Developer's Trademarks will inure solely to Developer's benefit.

(iii) Developer grants to third-party Developer Platform participants who have approved integrations on the Developer Platform ("Third-Party Developers", and such integrations, "Third-Party Apps") a non-exclusive, non-transferrable (other than to a permitted successor), non-sublicensable, and revocable license during the Term to: (1) use Developer's Trademarks to market and promote such integrations and Third-Party Apps in connection with the Services; and (2) link or embed such Third-Party Apps with Connectors and Apps. A Third-Party Developer's usage of Developer's Trademarks must adhere to Developer's trademark guidelines, as provided by Developer from time to time. Developer may review a Third Party Developer's use of Developer's Trademarks and require correction of non-compliant usage. Any rights acquired by a Third-Party Developer through use of Developer's Trademarks will inure solely to Developer's benefit.

c. Reservation of Rights and Non-Infringement: Each party reserves all rights in its own Trademarks not expressly granted herein. A party using the Trademarks of another party will not: (i) use any marks, domain, product names, or business names confusingly similar to the other party's Trademarks; or (ii) use the other party's Trademarks in its business, product/service, or website domain names.

5. Maintenance and Improvements

a. Monitoring and Maintenance: Zapier may monitor Developer Platform usage and may, at its discretion, limit Developer's access, including the number of calls or requests allowed. Further, Zapier reserves the right (but not the obligation) to maintain or safeguard the functionality, quality, availability, and security of Connectors.

b. Modifications: Developer grants Zapier an exclusive (as to third parties), perpetual, irrevocable, sublicensable right and license to copy, modify, use, make derivative works of, improve, update, upgrade, and distribute Integrations with the Service. Zapier will not intentionally remove Integration functionality except to comply with these Terms or address errors, bugs, security, availability, connectivity, or other similar issues. For clarity, only Developer (subject to these Terms) and Zapier (or its sublicensees) may exercise rights in Integrations, except either party may permit End Users to use Integrations in connection with their permitted use of the Services. This license will survive termination of these Terms. Zapier may exercise these rights through contractors providing services to Zapier. Developer will provide Zapier with a copy of Integration source code upon request.

c. Unauthorized Use: If Developer becomes aware of third party use of a Connector not through the Service or otherwise in violation of these Terms, Developer will immediately notify Zapier and use best efforts to stop such unauthorized use. Zapier may (but it is not obligated to) take action against such third party. Developer will cooperate with Zapier, including by being joined as a party to such action if necessary.

d. Usage Data: Zapier may collect and analyze data related to the provision, use, or performance of the Developer Platform, Connectors, and related systems and technologies. Zapier may: (i) use such data to improve and enhance the Developer Platform, Connectors, Service, and/or Zapier business; and (ii) disclose such data in aggregated or other de-identified forms for business purposes. Zapier's Privacy Policy is incorporated into these Terms.

e. Feedback: Any Feedback provided, whether related to Connectors, the Developer Platform, Service, or otherwise, may be used by Zapier without any restriction or compensation to Developer. Zapier may independently create software, tools, or other technology similar to Connectors or Apps.

6. Term and Termination

These Terms remain effective until terminated (“Term”). Developer may terminate by giving written notice to Zapier and ceasing all use of the Developer Platform. Zapier may terminate at any time, for any reason, including Developer's non-compliance with these Terms. Upon Developer's breach of these Terms, Developer's rights and licenses will immediately terminate. Upon termination: (a) Developer must immediately cease use of the Developer Platform and destroy all copies of Developer Platform components in its possession; (b) Sections 5 through 13, and Zapier's rights to use Developer's Trademarks under Section 4, survive termination; and (c) Developer may no longer access any content, data, or information submitted to Zapier regarding the Developer Platform, and Zapier has no obligation or liability resulting from such termination.

7. Disclaimers

The Developer Platform is provided “as is” without any warranties, express, statutory, or implied, including those of merchantability, fitness for a particular purpose, title, or non-infringement. Zapier is not obligated to provide maintenance, support, or error fixes and may change the Developer Platform or Services at any time without liability. Zapier makes no representations, warranties, or commitments regarding Connectors or their compatibility with Third-Party Apps or Services. These disclaimers apply to the full extent permitted by applicable law.

8. Limitation of Liability

Zapier will not have any liability arising out of or related to these Terms for indirect, special, incidental, reliance, or consequential damages or damages for loss of use, lost profits or interruption of business, even if informed of their possibility in advance. Zapier’s entire liability arising out of or related to these Terms will not exceed the greater of: (i) the amounts paid or payable by Developer to Zapier under these Terms (if any) in the twelve (12) months immediately preceding the first incident giving rise to liability; and (ii) US$50. The waivers and limitations in this Section 9 apply regardless of the form of action, whether in contract, tort (including negligence), strict liability or otherwise and will survive and apply even if any limited remedy in these Terms fails of its essential purpose.

9. Indemnification

Developer will indemnify, defend (at Zapier's request), and hold Zapier and its affiliates, officers, directors, suppliers, licensors, and other customers harmless from and against any and all liability and costs (including reasonable attorneys' fees) in connection with or arising out of: (a) Connectors or Apps (except to the extent caused solely by Zapier's modifications); (b) Developer's relationships or interactions with End Users or third parties related to Connectors or Apps; (c) Developer's use of the Developer Platform or Processing of User Data; or (d) Developer's violation of these Terms, applicable third-party terms, or any applicable laws. Zapier may, at its own expense, participate in the defense and settlement of any claim, and Developer may not settle a claim without Zapier's prior written consent.

10. Confidential Information

a. Confidential Information: Each party ("Disclosing Party") may disclose Confidential Information to the other party ("Receiving Party") in connection with these Terms. Confidential Information is anything that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure, including non-public aspects of the Services or Developer Platform (such as Zapier-provided access keys or credentials, which are Zapier Confidential Information and not to be shared with third parties), or any Developer Platform component made available to Developer by Zapier, as well as non-public business, product, product roadmap, technology, and marketing information. If something is labeled "Confidential," that is a clear indicator to the Receiving Party that the material is confidential. Notwithstanding the above, Confidential Information does not include information that (i) is or becomes generally available to the public without breach of any obligation owed to the Disclosing Party; (ii) was known to the Receiving Party prior to its disclosure by the Disclosing Party without breach of any obligation owed to the Disclosing Party; (iii) is received from a third party without breach of any obligation owed to the Disclosing Party; or (iv) was independently developed by the Receiving Party.

b. Protection and Use of Confidential Information: The Receiving Party will (i) take at least reasonable measures to prevent the unauthorized disclosure or use of Confidential Information, and limit access to those employees, affiliates, and contractors who need to know such information in connection with these Terms, provided, they are bound to confidentiality obligations at least as restrictive as those in these Terms; and (ii) not use or disclose any Confidential Information of the Disclosing Party for any purpose outside the scope of Developer Platform and these Terms. Nothing above will prevent either party from sharing Confidential Information with financial and legal advisors, provided, such advisors are bound to confidentiality obligations at least as restrictive as those in these Terms.

c. Compelled Access or Disclosure: The Receiving Party may access or disclose Confidential Information of the Disclosing Party if it is required by law; provided, however, that the Receiving Party gives the Disclosing Party prior notice of the compelled access or disclosure (to the extent legally permitted) and reasonable assistance, at the Disclosing Party's cost, if the Disclosing Party wishes to contest the access or disclosure. If the Receiving Party is compelled by law to access or disclose the Disclosing Party's Confidential Information, the Disclosing Party will reimburse the Receiving Party for its reasonable cost of compiling and providing access to such Confidential Information as well as the reasonable cost for any support provided in connection with the Disclosing Party seeking a protective order or confidential treatment for the Confidential Information to be produced.

11. Notice

a. Zapier Notice to Developer: Zapier may provide Developer with notices through the Developer Platform portal or by electronic mail to Developer’s email address on record in its Zapier account. Developer is responsible for ensuring that its contact information is both current and accurate in its Zapier account. 

b. Developer Notice to Zapier: If Developer has a dispute with Zapier, wishes to provide notice under these Terms, or becomes subject to insolvency or other similar legal proceedings, Developer must promptly send written notice to Zapier at:

12. Modifications to Terms

Zapier may revise these Terms from time to time by posting a modified version. Unless otherwise provided by Zapier, modifications to these Terms will be effective immediately. By continuing to access or use the Developer Platform (or any part thereof), including maintaining Connectors, after the posting of any modified Terms, Developer agrees to be bound by such modified Terms. If Developer does not or cannot agree to the modified Terms, Developer's sole remedy is to terminate Developer's use of the Developer Platform.

13. General

a. Force Majeure: Neither party is liable for a delay or failure to perform these Terms due to an unforeseen event beyond a party’s reasonable control, such as a strike, blockade, war, pandemic, act of terrorism, riot, third-party Internet or utility failure, refusal of government license or natural disaster, where the affected party takes reasonable and customary measures to avoid or mitigate such event’s effects.

b. Assignment: Developer may not assign these Terms without Zapier's prior written consent, except in connection with a merger, consolidation, or sale of substantially all assets (and not to any competitor of Zapier, as determined in Zapier's sole discretion). Any prohibited assignment is void. Zapier may assign these Terms without restriction or notice. These Terms are binding on the parties and their respective successors.

c. Severability and Waiver: If any provision of these Terms is held to be invalid or unenforceable, the remaining portions will remain in full force and effect and such provision will be enforced to the maximum extent possible so as to effect the intent of the parties and will be reformed to the extent necessary to make such provision valid and enforceable. No waiver of rights by either party may be implied from any actions or failures to enforce rights under these Terms.

d. No Third-Party Beneficiaries: These Terms do not create any right in favor of any third party.

e. Governing Law; Jurisdiction: These Terms will be governed by and construed in accordance with the laws of the State of Delaware, without reference to its conflict of laws principles. All disputes arising out of or relating to these Terms will be submitted to the exclusive jurisdiction of a court of competent jurisdiction located in Wilmington, Delaware, and each party irrevocably consents to such personal jurisdiction and waives all objections to this venue.

f. Entire Agreement: These Terms and the policies or terms expressly referenced and incorporated into these Terms constitute the entire agreement and understanding between the parties concerning the subject matter hereof. These Terms supersede all prior or contemporaneous discussions, proposals, and agreements between Developer and Zapier relating to the subject matter hereof.

g. Independent Contractors: The parties are independent contractors. Nothing in these Terms creates an agency, partnership, or joint venture.

h. Government Rights: To the extent applicable, the Developer Platform is deemed “commercial computer software” or a “commercial item” under FAR 12.212 and DFARS 227.7202. Use, reproduction, release, modification, disclosure, or transfer of the Developer Platform is governed solely by these Terms, and all other use is prohibited.
